Shanghai Lingfen Technology Co., Ltd. (“Lingfen Technology”) hereby specifically reminds you that before you register yourself as a WorldTalk member, you are expected to carefully read the Terms of WorldTalk Membership Service (“Terms of Service”) and make sure that you have fully understand all clauses of the Terms of Service, including the clauses exempting Lingfen Technology from certain liabilities and restricting the members’ rights. Please read carefully and choose to accept or not to accept the Terms of Service. You shall not register, log in or use the services involved in the Terms of Service, unless you accept all clauses of the Terms of Service. Your registration, login and use will be construed as your acceptance of the Terms of Service and consent to be bound by all clauses of the Terms of Service.
The Terms of Service provide for all matters between Lingfen Technology and you with respect to “WorldTalk Membership” service. A “member” means any individual who registers, logs in and uses various services provided by WorldTalk Technology in the Terms of Service. WorldTalk Membership Service is a paid value-added service, and the Member must fully consent to the Terms of Service and complete the required payment before enjoying relevant services.
The Terms of Service are formulated on the basis of User Agreement on “WorldTalk” software and are an integral part of the foregoing agreement. Meanwhile, any and all specifications and rules concerning Membership Service that may be issued by Lingfen Technology from time to time shall be part of the Terms of Service. Your choosing to accept the Terms of Service, activate Membership Service and become a member user means your consent to accept and observe the requirements of the Terms of Service, User Agreement and all specifications and rules. If you do not accept the Terms of Service, then you will not be allowed to enjoy the Membership Service involved in the Terms of Service.
The Terms of Service may be updated by Lingfen Technology from time to time. Upon release of the updated Terms of Service, such update version shall supersede the original Terms of Service without separate notice to you. Each user may check the latest version of the Terms of Service on this website.
General Provisions：
II. Service Fees
Membership shall be calculated in the unit of month (the length of each month shall be calculated as 30 days), and the membership service fee shall be subject to the amount shown on the payment page. The user shall pay for the Membership Service in a lump sum. Lingfen Technology will provide the users with different levels of preferential prices depending on different purchase method and quantity, and special preferential information is subject to the content shown on the membership payment page.
Lingfen Technology may from time to time adjust the membership service fee standard according to actual conditions, and the adjusted membership service fee standard will be shown on the membership payment page. The user shall pay according to the adjusted service fee standard before enjoying or retaining the membership. For users who have purchased the Membership Service according to the original membership service fee standard, their membership and the Membership Service to which they are entitled will not be affected within the membership period already obtained and the payment of price difference is not required.
III. Service Content
WorldTalk will provide its members with various exclusive value-added services, and the particulars of such services will be shown on the membership page.
WorldTalk may from time to time adjust the content of the Membership Service according to actual conditions.
IV. Service Activation and Termination
WorldTalk user will obtain the WorldTalk membership after completing the user registration procedure and finishing the payment of the member fee through the payment approach provided by the WorldTalk platform.
The WorldTalk user shall complete the member registration through the WorldTalk platform, and the contents and personal data submitted must be real and effective. In case of any change to personal data of a particular member, the member shall timely modify the personal data provided during registration; otherwise, the resulting failure to exercise member rights fully and effectively or any other consequence or liability shall be borne by the member himself/herself.
The membership period shall be counted from the time of activation of the WorldTalk Membership Service and members can log in the “My_VIP membership” page of the WorldTalk client app for details.
Unless a user activates the automatic renewal function, upon expiry of his/her membership period, Lingfen Technology will stop the provision of the value-added member services for the member. In this case, the user may renew his/her membership by continuing the payment of the membership service fee.
Where a member renews within his/her membership period, his/her membership period will be extended accordingly on the basis of the original period. In addition, Lingfen Technology provides the function of automatic monthly membership renewal, and the user may also activate this function within his/her membership period, thus authorizing Lingfen Technology to automatically renew the user’s membership period upon expiry of his/her membership period and deduct the corresponding amount from the user’s account, and continue the implementation automatically after the expiry of each such renewal period. However, if the pink diamond in the user’s account is not enough to pay such renewal fee, then this function may not be enabled.
V. Rights and Obligations of the Member
Each WorldTalk member shall equally enjoy member rights and meanwhile comply with all specifications and rules of Lingfen Technology, including but not limited to the Terms of Service and User Agreement.
If any member violates WorldTalk’s User Agreement and thus his/her Membership Service is suspended, any and all loss thus incurred shall be borne by the member himself/herself.
Each member is entitled to enjoy all value-added services intended for WorldTalk members within his/her membership period.
If a member terminates or cancels his/her membership within his/her membership period, Lingfen Technology will not return the service fee corresponding to the remaining membership period.
Each member shall undertake the legal responsibility for his/her information transmission or release in WorldTalk and the use of WorldTalk’s free or paid services. The use by any member of WorldTalk’s services, including free services and paid services, shall comply with all laws, regulations, bylaws and normative documents (“Laws and Regulations”).
VI. Lingfen Technology’s Rights and Obligations
Lingfen Technology is duty bound to ensure normal use of the Membership Service by members who comply with the Terms of Service, WorldTalk’s User Agreement and various specifications and rules. In case of any technical failure affecting normal provision of the Membership Service, Lingfen Technology shall promptly eliminate such failure. However, any loss attributable to the members from such failure shall not be the responsibility of Lingfen Technology.
Without authorization by any member, WorldTalk shall not publicize, edit or disclose any non-public information registered and stored by the member, unless otherwise specifically required by laws and regulations or required by the User Agreement.
Lingfen Technology will issue notices and announcements to its members through the WorldTalk system.
If any force majeure results in the interruption of provision of the Membership Service or any other defect, Lingfen Technology shall not bear any liability for such interruption or defect, but will make its best efforts to reduce the loss and effect thus incurred to the members.
WorldTalk shall not be held liable for any leakage of the WorldTalk account number and password of any member that is attributed to the member’s fault. Meanwhile, in order to avert the legal risk that may arise due to potential abuse of the relevant WorldTalk account number after such leakage, WorldTalk may, after reported by the user of such issue, take all measures to prevent any third party from performing any operation with such user’s member account, regardless of what purpose such third party use such account for and whether or not it obtains such account in good faith.
If, during use by a member of WorldTalk’s free or paid services, the member deliberately impairs any lawful rights and interests of Lingfen Technology, WorldTalk platform or any other WorldTalk user, or is involved in any circumstance provided in the User Agreement, Lingfen Technology is entitled to cancel the member’s membership or suspend one or more Membership Service without paying any compensation, and reserves the right to investigate the legal liability of such member.
If, during use by a member of WorldTalk’s free or paid services, the member violates the laws and regulations, Lingfen Technology is entitled to cancel the member’s membership without paying any compensation, and such member shall take all relevant liabilities on his/her own.
VII. Miscellaneous Provisions
Any specifications, rules and other requirements concerning the Membership Service that may be issued by Lingfen Technology from time to time shall constitute an integral part of the Terms of Service.
If the Terms of Service conflict with the User Agreement or there is any issue not covered in the Terms of Service, the requirement of the User Agreement shall prevail.
The interpretation, validity and settlement of disputes in connection with the Terms of Service shall be governed by the laws of the People’s Republic of China. Any controversy or dispute that may arise between any member and Lingfen Technology shall be first settled through friendly negotiation between them. If all such efforts fail, the member agrees that such controversy or dispute shall be brought before the people’s court having jurisdiction in the domicile of Lingfen Technology.
The copyright of the Terms of Service shall remain with Lingfen Technology, and Lingfen Technology reserves the right to interpret and modify the Terms of Service whenever necessary./p>
Lingfen Technology may, depending on WorldTalk’s different development stages, continue to improve the Terms of Service with continual accumulation of community management experience and for the purpose of maintaining WorldTalk’s membership order.
